Who can be a Corporate Secretary in Singapore?

The secretary must be

  • Ordinarily resident in Singapore ie. a Singapore citizen or a Singapore Permanent Resident;
  • A natural person; and
  • A person who appears to have the requisite knowledge and experience to discharge the functions of the secretary of the company.  It is important to note that it is the duty of the directors of the company to take all reasonable steps to secure that each secretary of the company fulfils the above requirement. 
Do I require a Company Secretary?

The appointment of Company Secretary is required for all companies, both private and public. 

The office of the company secretary shall not be left vacant for more than 6 months at any one time.

Due to regular changes and amendments in Companies Act, it is advisable to engage experienced and qualified company secretaries to ensure compliance with regulations.

For Sole Proprietor and Limited Liability Partnership, Company Secretary is not required but they are advised to engage a corporate service provider who has qualified Company Secretary and Accountant to advise on the regulatory requirements.

If I use home address as my company’s registered office address, what should I take note of?

A registered office address refers to the place where all communications and notices to the company may be addressed, and the place where the company’s register and records are kept.

A registered office must be operational and accessible to the public during normal office hours, but need not be where the company conducts its activities 

A P.O. Box address cannot be used as the business address.

You may use your residential address as the business address under the Home Office Scheme. You can apply for approval from HDB/URA.

The licence is valid for 5 years and renewable.
